By accessing or using LastRoom (“the Platform”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Platform. These Terms apply to all hotels, travel agents, and other users of our B2B marketplace.
LastRoom is a B2B marketplace that connects hotels with unsold room inventory to travel agents seeking last-minute accommodations for their clients. The Platform facilitates real-time bidding, booking management, and transaction processing between parties.

The Platform operates on a real-time bidding system. Hotels list available rooms with minimum bid thresholds. Travel agents place bids, which hotels may accept, reject, or counter. Once a bid is accepted by both parties, a binding booking is created. All transactions are subject to our payment processing terms.
LastRoom charges service fees for transactions completed through the Platform. Fee structures are disclosed during the registration process and may be updated from time to time. Payment processing is handled by third-party providers, and users agree to their terms of service.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or harmful activity. Users may terminate their account at any time by contacting support. Outstanding obligations from confirmed bookings survive termination.
LastRoom acts as a marketplace facilitator and is not responsible for the quality of accommodations, service delivery by hotels, or client satisfaction. Our liability is limited to the amount of fees paid to us in connection with the disputed transaction. We are not liable for indirect, incidental, or consequential damages.
Any disputes arising from these Terms or Platform use shall first be attempted to be resolved through good faith negotiation. If unresolved, disputes will be subject to binding arbitration in accordance with the rules of the American Arbitration Association.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
We may modify these Terms at any time. We will notify users of material changes by email or through the Platform. Continued use after changes constitutes acceptance of the revised Terms.
